This Non-Disclosure Agreement ("Agreement") is entered into as of [Date] by and between [Discloser Name], with its principal place of business located at [Discloser Address] ("Discloser"), and [Recipient Name], with its principal place of business located at [Recipient Address] ("Recipient").

WHEREAS, Discloser possesses certain confidential information that is proprietary to its business and recognizes the need for protecting the same against unauthorized disclosure.

WHEREAS, Recipient may receive such confidential information during the course of dealings with Discloser for the purpose of [Purpose of Disclosure].

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

  1. Definition of Confidential Information. For the purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which Discloser is engaged. If Confidential Information is in written form, the Discloser shall label or stamp the materials with the word "Confidential" or some similar warning. The obligations under this Agreement will not apply to information that: (a) was in the Recipient's possession before receipt from the Discloser; (b) is or becomes a matter of public knowledge through no fault of the Recipient; (c) is rightfully received by the Recipient from a third party without a duty of confidentiality; or (d) is disclosed without a duty of confidentiality to a third party by, or with the permission of, the Discloser.
  3. Obligations of Recipient. Recipient agrees to (a) hold and maintain the Confidential Information in strict confidence; (b) not disclose such Confidential Information to any third parties; and (c) not use any Confidential Information for any purpose except for the purpose of [Purpose of Disclosure].
  4. Term. The obligations of this Agreement shall remain in effect for a period of [Number] years from the date of this Agreement, unless otherwise terminated by either party in accordance with the provisions of this Agreement.
  5. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.
